Almost every merger or takeover featured in the business pages of daily newspapers will have corporate lawyers working on it. So if you are an adrenaline junky who would relish the opportunity to be at the heart of high profile, multimillionpound deals, then a legal career in corporate finance may be right up your street.
What's it all about?
Corporate lawyers advise their clients on a broad range of matters, including mergers and acquisitions (M&A) and takeovers, as well as on methods for raising additional cash, such as flotation on a stock exchange. The length of a transaction will vary depending on the type and size of the deal. Some deals are completed in less than a week, while others may take several months. For instance, Malcolm Glazer's recent £790m takeover of Manchester United Football Club took 15 months to complete.
As a corporate lawyer, you have to be commercially-minded as well as having a good understanding of the law. This means that getting to know your clients' businesses and the industry sectors is essential.
A corporate lawyer's client base is very varied and typically includes entrepreneurs, small privately-owned businesses and large multinational corporations such as pharmaceutical giant GlaxoSmithKline and BP. Most corporate lawyers also act for a range of financial institutions, including high street banks and investment banks.
The size of transactions on which corporate lawyers will work varies depending on the size of the law firm they work for. For instance, a lawyer working for a top 20 City firm will typically handle deals worth millions or even billions of pounds. Magic circle firms Allen & Overy and Freshfields Bruckhaus Deringer handled Glazer's bid for Manchester Utd.
In contrast, a lawyer employed by a law firm in the regions, such as Birmingham-based Gateley Wareing, would typically handle deals for small to medium-sized companies or family-run businesses.
The nature of deals handled by corporate lawyers may be affected by the state of the world's major economies. For instance, until recent months there have been very few companies floating on the London Stock Exchange (LSE) due to a lack of confidence in the performance of the FTSE100 (the index of the UK's top 100 share prices). The M&A market has also been relatively flat because companies have not had sufficient cash to expand.
In contrast, the private equity deals continue to be the latest fad. Private equity houses such as CVC and Apax buy businesses with a view to selling them off at a profit. For example, in July private equity house Cinven sold NCP, the UK car park operator it bought in 2002, to rival private equity group 3i for £555m. The sale resulted in Cinven converting its initial £140m investment into just over £400m.
The working culture
The pace in a corporate department can be very fast at times and it is not unusual for lawyers to work long hours, sometimes throughout the night. Although there is great pressure at times, most people manage to retain their sense of humour. With this hard work comes a great team spirit and a real feeling of satisfaction when a deadline is finally met; and there is also the party to celebrate the successful completion of the deal to look forward to. Of course, there are invariably quieter periods to allow you to recover from the busy times.
A corporate lawyer's day-to-day responsibilities will differ, depending on how many years they have been in practice.
Senior corporate lawyers will act as a transaction manager and liaise with the client's other advisers, including investment banks and accountants. They will also be the client's principal point of contact and will advise companies on strategic matters so that they can achieve their corporate goals. Senior corporate lawyers will also attend high-level meetings and lead negotiations. The complex nature of transactions means that junior lawyers are often handed less responsibility than their counterparts in other departments.
A junior corporate lawyer's work is extremely varied and can include such tasks as carrying out research, drafting agreements, sitting in on client meetings and conducting due diligence (reviewing a company's contracts with lenders, suppliers etc). The downside is that deals are usually very document-heavy, meaning trainees in corporate departments can sometimes get handed the photocopying and proofreading duties.
Trainees and junior lawyers in corporate departments also tend to work longer hours than their colleagues in other departments.

Being at the hub of a large transaction is fascinating, as you will be involved in the deal from start to finish. It is also rewarding to read about the deal you were working on in the national press.
Personal and legal skills required
Corporate lawyers must have a good knowledge of the law and relevant regulations and should be commercially aware.
They also need to be effective team players because the sheer size of many deals means there will usually be a large number of lawyers from different departments all handling different aspects of the transaction. They also need to be organised and able to meet tight deadlines. With the long hours culture being prevalent, a good sense of humour is vital to help you get through those busy and stressful periods.

When a senior member of the firm asked me whether I was interested in football, I wondered whether he meant watching or playing. I had no idea that the answer would lead to my involvement in the most publicised takeover of the year - defending Manchester United against a hostile takeover bid from US sports tycoon Malcolm Glazer. When Glazer finally made a formal offer, Man Utd's directors were obliged to communicate their views on the bid to the club's shareholders in a circular. The circular also had to contain the information about Man Utd, including directors' interests.
From the start I took part in meetings with Man Utd and its financial advisers, which enabled me to gain exposure to the issues facing a takeover target. I was also responsible for liaising with both the company and its advisers and drafting parts of the circular itself. After the board had approved the circular, it was agreed that it should be printed and posted to the shareholders on 26 May 2005, the day after Liverpool FC won the Champions League final. This meant that, while most people watched the culmination of a very different footballing contest, on the evening of the 25 May 2005 I ensured that any last-minute changes were made before the printers were instructed to run thousands of copies of the circular through their presses.
When Man Utd won the Champions League in 1999, I was studying law at university and had taken a break from revision to watch the match. And even though they weren't playing, the next time an English club lifted the Champions League trophy - the night of 25 May 2005 - will also be associated with Man Utd and the end of the most interesting and publicly scrutinised transaction that I have been involved with.
How to read the business sections
The importance of flicking through the business sections of the broadsheets cannot be stressed. It will help you to get to grasp with how businesses operate. Reading the business sections will also give you some idea of what is happening in the City, business trends, the state of the economy and so on. Indeed, an understanding of these issues will give you a head start when applying for vacation placements and training contracts. But if you find reading the business pages a bit mind boggling, the following jargon buster might help.
Analyst - a person who studies companies to recommend whether to buy or sell their shares to investors.
Capital markets - the collective word used to describe dealings in shares (equities) and debt (loans, bonds).
FTSE100 - the index of the leading 100 public companies (see 'initial public offering', below) based on their share price. FTSE100 companies include BT Group, Granada and Tesco. Companies move up the index when their share price increases and vice versa.
Hostile takeover - a takeover bid/offer that has not been recommended by the target company's directors.
Initial public offering (IPO) - the process a company goes through to sell its shares to the public and to list on a stock exchange. Once a company completes an IPO, it becomes a 'public' company.
Inflation - a government index to measure the rate the price of a basket of goods bought by a 'typical household' increases. Prices rise when demand is greater than supply.

A ham radio operator picked up conversations between the robbers and their rooftop lookout. Four days after the robbery, the British government issued a "D Notice" which effectively censored all media coverage of the robbery for reasons of national security.The story of the film suggests that the real purpose of the robbery was to recover incriminating photos of Prince Margaret, the sister of the Queen of England, that were being used by a black activist and criminal calling himself Michael X to avoid prosecution for drug trafficking. Terry Leather, the character played by Jason Stratham, is contacted by an old friend Martine, played by Saffron Burrows.The reason for robbing the safe deposit vault is that the money and valuables contained within are there to avoid reporting them to the government, such as Inland Revenue, the British equivalent of the IRS. Therefore the owners would not report the valuables as being missing, complicating the investigation of the crime.Little does Terry know is that Martine is really working for British Intelligence, who are after the incriminating photographs. ALLOPATHY
It's been a while since I plainly articulated one of the basic underlying pillars of my writings: That modern medicine in America - the kind espoused by all but a few MDs is entirely backward in its philosophy. It treats only effects, not causes.
I mention this now because I recently stumbled across something online that reminds me of how important it is to keep this backwardness in mind as we navigate the ridiculous and dangerous farce our health care system has become. I'll show it to you in just a second (it's really poignant and funny, too), but first a little background.
As you know, I spill a lot of ink in this forum (the Daily Dose) railing about the shortcomings, misguided-ness, or utter corruptness of "mainstream" or "conventional" medicine. These are convenient umbrella terms for the pill and scalpel way we most often attempt to heal disease here in the western world…
But about 80% of the time, what I'm actually sounding off about is allopathic medicine. This is just a fancy word for the ever-more-prevalent drug-based brand of "healing" (a gross misnomer, of course). The more or less official definition of the word is this:
Allopathic: N. Of or pertaining to allopathy, the treatment of disease with drugs (see als dangerous synthetic chemicals) having opposite effects to the symptoms.
Okay, I added that part about the chemicals.
But then, I had to add it - because no dictionary in today's gone-to-pot PC world would ever define the term as straight up as this. As you can see, allopathic medicine does not attempt to cure disease by eliminating its causes. Instead, it seeks only to mask or counteract a given disease's symptoms. The only thing this kind of medicine ensures is that NO TRUE HEALING WILL HAPPEN, only a continuation of treatment, ad infinitum.
This is what you're paying out the nose for every time you fill a prescription or pay for health coverage out of your pocket or paycheck (or your taxes). Nice, isn't it?
But what's really scary about this condition is how much is riding on it. I've often said in past issues of this dispatch that the medical establishment has no true incentive to heal. If they did, they'd cure themselves right out of jobs, funding, and power. If modern western medicine (mostly allopathic, by the way) really WORKED, there'd be a need for less and less of it with every passing year. Keep reading…Instead we have ever more (and ever younger) doctors, ever more lawsuits and lawyers, ever more intricate and costly insurance coverage, ever more government programs, ever more regulation of medicine, ever more payments and fees and co-pays and expenses. Think about it, without medicine that furthers the need for people to process every step of this insane system, a lot of people would be unemployed - and a lost of tax money lost, both in terms of sales taxes and corporate revenues.

Now here's the part where you get to have an eye-opening chuckle. One of my peers (yes, I have a FEW) has put together a short animated film illustrating the conflicting interests, wrongheaded-ness, and far-reaching effects of the whole modern-day allopathic medicine quagmire.
His name is Dr. Joseph Mercola. You may recognize the name - I'm almost certain I've credited him as a Daily Dose source a time or two in the past. Anyway, the way he shows us the whole sordid mess in this allegorical short film is unbelievably spot-on…
Listen, I don't always agree with Dr. Mercola's recommendations. But I can't help but respect his expression on this all-important issue. I guarantee that once you've taken a look at it for yourself, you'll have a much greater understanding of the scope and impact of drug-based "medicine" in America today.

This is what you're paying out the nose for every time you fill a prescription or pay for health coverage out of your pocket or paycheck (or your taxes). Nice, isn't it?
But what's really scary about this condition is how much is riding on it. I've often said in past issues of this dispatch that the medical establishment has no true incentive to heal. If they did, they'd cure themselves right out of jobs, funding, and power. If modern western medicine (mostly allopathic, by the way) really WORKED, there'd be a need for less and less of it with every passing year. Business people have always wondered and more so in the last few months what it takes to bring a company from the red to the black, from a low profit organization to a healthy high profit one. BPO has appeared as the probable answer to most organizations’ problems. While it has provided a means to profitability to large organizations in the western world, it has afforded huge business opportunities to developing countries like India. Today India has become capable of offering cheaper and innovative ways of doing the same business, by virtue of its highly educated work force, convenient rupee-dollar rates and efficient infrastructure. Again, taking up yet another example relating to a typical household is the laundry. Sometimes, people would give their clothes to a laundry for washing and ironing and at other times they would wash it themselves but, get it ironed from a laundry. This is again a typical example of outsourcing.
An essential but non-core activity of a household id executed in parts or in whole for a fee by a person or an institution, who is not a member of the household.
In the corporate context, outsourcing is all pervasive. Myriad examples are noticeable at the first glance itself. Perhaps, among the most visible examples are the “Security Services”, “Housekeeping” and “Pantry”.
More often than not the gatekeeper or the security personnel would be from a “Security Services Agency”. This is so even when the Security Personnel happens to be the most visible face of the organization. And perhaps the first impression.
Similar is the case with Housekeeping. Housekeeping or maintainence of facilities is a very important but non core activity. Dirty unkempt premises may not only make a wrong impression on potential customers, but, can also prove to be unhyeginic to the company’s employees. Even then cleaning and maintaining of the premises is outsourced to an outside agency, specialized in this activity for a consideration.
Another noteworthy example, is the canteen services or the pantry. Lunch, tea and coffee being served in a company’s premises is seldom cooked and served by an employee in today’s context. It is likely that the pantry management has been outsourced totally to a catering company. The infrastructure to run the canteen, i.e., chairs, tables, cutlery, utensils is generally provided by the company, whereas the personnel, the food and the cooking and services would be in the scope of work of the caterer.
These are some of the basic but visible examples of outsourcing in the corporate world. Some of the not so visible but equally pertinent “outsourcing” that happens in the corporate world are those that involve the execution of certain semi-core and core activities by an outside entity.
Organisations no longer outsource only non-core labour intensive processes. Labour intensive but essential business processess like sales, “customer care” or “help desk”, or “manufacturing” are critical activities where “goof ups” can prove to be expensive.
So is the case with “intellect” and “creativity” such as Advertising, Public Relations, Research & Development and Software Development. These are extremely creative processes, which call for tremendous reserves of knowledge and intellectual capabilities. Yet these activities are also outsourced. At times these activities or business processes can be very, very critical to the survival of an organization. But today, they are outsourced and outsourcing has proved to be beneficial as well. So if we are to look at outsourcing we would observe that Outsourcing not only happens in individual homes but also in Corporate houses. It is all pervasive and have existed as long as these entities have been in existence.
Over the years business process outsourcing has become wrapped in conventional wisdom. Traditionally, organizations applied simple rules about when to use BPO:

Address the strategic interests and goals of the company - The strategic plan, the information sources and the company's performance measures should all be taken into consideration while identifying the company's needs. However, this might change if it is found viable that resources or knowledge from an external source could supplement the available in-house resources. Specify the service to be provided and identify the rationale behind the outsourcing. The needs could include cutting costs, enhancing service levels, moving to a different technology platform, increasing technical know-how and skills within the organization.

Outsourcing skeptics believe that an outsider cannot provide the same attention as the in-house team. Therefore, a thorough vendor scrutiny becomes vital before assigning critical technical roadmaps and confidential information to him.
Understanding the emphasis of a vendor's business, or what it is that drives the vendor, is essential while choosing the appropriate vendor to meet the specific needs. A vendor selection team should be developed that would recognize business areas for the project. The vendor selection team should comprise senior management, legal staff with contract expertise, technical staff, end users and financial staff.
Following is a vendor selection checklist. The parameters on which the vendor should be assessed have been carefully chosen, and it is advised that before entering into a relationship, the vendor selection checklist must be completed. Further, while taking a decision based on our vendor selection checklist, it is advisable to assign weights to the parameters mentioned. The three most important factors considered while choosing an outsourcing vendor included price, quality and flexibility.
10.3 Experience and Expertise
As with any procurement process even in an outsourcing initiative the relevant past experience and skill-sets of the prospective vendor should be considered and given due weightage.
This will not only ensure that best practices are adopted in the outsourced activity but also high efficiency is likely to be maintained. Besides selecting a vendor with relevant past experience is likely to give the company a further edge in terms of reduction of training time and costs.
A strong track record and a positive reputation of the vendor are other important criterion, which will ensure that the partnership has been struck with the correct match. This could further be ensured by undertaking a reference check.

It can comfortably seat four persons. Four doors with high seating position make ingress and egress easy. Yet with a length of 3.1 metres, width of 1.5 metres and height of 1.6 metres, with adequate ground clearance, it can effortlessly manoeuvre on busy roads in cities as well as in rural areas. Its mono-volume design, with wheels at the corners and the powertrain at the rear, enables it to uniquely combine both space and manoeuvrability, which will set a new benchmark among small cars. Each of these career paths requires different knowledge, skills, and abilities and may not naturally lead to the other for career progression. However, a role for each of these occupations represents different levels of work, or career progression. Career paths may exist within a single role, extend to other roles in this Career Group, or to roles in other occupationally related Career Groups.
The Architect/Engineer I role provides career tracks for architects or engineers whose expertise levels range from trainee to advanced level. Responsibilities include applying architecture/engineering principles and practices to projects of varying complexity in specialty areas. Specialty areas include those requiring knowledge of civil, environmental, structural, mechanical, electrical, transportation, traffic, safety, materials, or rehabilitation engineering and architecture.
